VK Sells Its Intickets Stake and Retains Ticketing Plans

Ticketing stake sold

VK has sold its 40% interest in Intickets LLC, operator of the Intickets.ru cloud ticketing platform. TKI LLC acquired the stake on Oct 2, 2026. TKI was registered on Aug 11, 2026, and belongs to Tatiana Kondratenko, who owns the remaining 60% of Intickets.

VK confirmed the transaction and said the disposal was profitable, without disclosing its financial terms. The company intends to continue developing VK Tickets and supporting the Pushkin Card cultural program through its own technical infrastructure and solutions.

Cloud ticketing operations

Intickets provides cultural institutions, ticket agents and event organizers with tools for managing their ticket-sales cycle and automating business processes.

VK announced its original investment in May 2024, linking the acquisition to its work as a trusted information system for the Pushkin Card program.

Intickets was registered in 2015. Before VK's investment, the ticketing operator generated 578.2 million rubles of revenue in 2023, an increase of 1.7 times compared with the preceding year. Its annual net profit reached 174.9 million rubles, rising 1.9 times over the same comparison period.

Original acquisition accounting

VK's financial statements for the six months ended Jun 30, 2024, classified Intickets as a controlled business. Its 40% ownership interest provided decision-making rights on key matters. The acquisition accounting recognized the following amounts, expressed in millions of rubles:

Cash consideration: 472; fair value of contingent consideration: 251; combined consideration: 723.
Identifiable net assets: 921; non-controlling interests: 552; acquisition goodwill: 354.

Goodwill primarily reflected new activities and potential group synergies. Acquired intangible assets consisted principally of software and the customer base, amortized over four to five years. These figures describe the original business combination and its accounting allocation. The statements presented acquisition cash flows, including cash obtained with the acquired business, alongside the consideration calculation.
